1. Acceptance of Terms

By accessing and using Spinfluence ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Spinfluence is a marketplace that connects music producers with established artists for paid track feedback. Artists provide audio or written feedback on submitted tracks, and producers pay for this service.

3. User Accounts

You must be at least 18 years old to create an account and use Spinfluence. By creating an account, you represent that you are 18 or older.

To use certain features of the Platform, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account

4. Artist Obligations

As an artist on the Platform, you agree to:

Provide honest, constructive feedback on all assigned tracks
Complete reviews within your specified turnaround time
Maintain professional conduct in all communications
Not share or distribute submitted tracks without permission

5. Producer Obligations

As a producer on the Platform, you agree to:

Submit only original content that you own or have rights to
Not submit inappropriate or offensive content
Accept that feedback is subjective and for educational purposes
Pay for services as agreed before submission

6. Payments, Escrow & Refunds

Escrow Payment Model

Spinfluence uses an escrow payment model to protect both producers and artists. When a producer submits a track and completes payment, the funds are held by Spinfluence (not transferred to the artist) until feedback is delivered.

Platform Fee

Spinfluence charges a 25% platform fee on all transactions. This fee is deducted before funds are transferred to artists. For example, if a producer pays $100 for feedback, the artist receives $75 after the platform fee.

Producer Refunds

Automatic Refund: If an artist does not provide feedback within 14 days of your submission, you will automatically receive a full refund. No action is required on your part.

Manual Refund Requests: If you believe the feedback received does not meet minimum quality standards (e.g., completely off-topic, unintelligible, or clearly automated), you may request a refund by contacting us at house@spinfluenced.com within 7 days of receiving the feedback. Refund requests are reviewed on a case-by-case basis.

Artist Payouts

Once an artist delivers feedback, the escrowed funds (minus the 25% platform fee) are transferred to the artist's Stripe account within 2-7 business days, depending on Stripe's processing time.

Important: Artists must connect a Stripe account within 90 days of receiving their first paid submission. If Stripe is not connected within 90 days, pending earnings may be forfeited and refunded to producers. Artists will receive email reminders at 60 days and 80 days before this deadline.

7. Intellectual Property

Producers retain all rights to their submitted music. Artists retain rights to their feedback content. By using the Platform, you grant Spinfluence a license to facilitate the service and display content as necessary.

8. Limitation of Liability

Spinfluence is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform. We do not guarantee any specific outcomes from feedback received.

9. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the Platform after changes constitutes acceptance of the new terms.

11. Governing Law

These Terms of Service and any disputes arising from your use of the Platform shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles. You agree that any legal action or proceeding relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Milwaukee County, Wisconsin, and you consent to the personal jurisdiction of such courts.

12. Wishlist Feature

Spinfluence allows producers to "wishlist" artists who are not yet available on the Platform. By wishlisting an artist, you are expressing interest in submitting tracks to that artist if and when they join Spinfluence.

No Guarantee of Availability: Wishlisting an artist does not guarantee that the artist will join Spinfluence or become available for feedback. Spinfluence makes no representations or warranties regarding whether any wishlisted artist will register on the Platform, accept submissions, or provide feedback.

No Charge Until Submission: You will not be charged any fees solely for wishlisting an artist. Charges only apply when you submit a track to an available artist and complete the standard payment process described in Section 6.

No Implied Relationship: Wishlisting an artist does not create any relationship, agreement, or obligation between you and the wishlisted artist. It does not constitute a reservation, pre-order, or commitment of any kind.

Notifications: If you wishlist an artist, you may receive a notification if that artist later joins the Platform. Spinfluence is not obligated to provide such notifications and is not liable for any failure to notify you.

13. International Users

Spinfluence is operated from the United States. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

All payments are processed in US dollars (USD). If you pay using a non-USD payment method, your bank or payment provider may apply currency conversion fees, which are your responsibility.

For users in the European Economic Area (EEA): By using Spinfluence, you consent to the transfer of your personal data to the United States for the purpose of providing our services. This data transfer is necessary for the performance of the contract between you and Spinfluence.
